2. Payment and Fees

2.1. Pricing is agreed upon before the commencement of services and may vary depending on the scope of work. 2.2. All invoices are payable within 14 days of issuance. Services will be on hold until payment is received. 2.3. If payment is not made within 14 days, JSB Media reserves the right to suspend or terminate services. 2.4. Refund policies are no longer valid once work has commenced. Partial refunds may be issued depending on the amount of work completed. 2.5. In case of late payments, JSB Media reserves the right to suspend or terminate services until payment is received.

3. Client Responsibilities

‍3.1. Clients must provide accurate, complete, and timely information required for the successful execution of services. 3.2. Approvals and feedback should be provided promptly to avoid delays in project timelines. 3.3. Clients are responsible for the legality and accuracy of the content they provide.

4. Intellectual Property

‍

4.1. All intellectual property rights for content created by JSB Media will remain with JSB Media until full payment is received. 4.2. Upon full payment, clients are granted a non-exclusive, non-transferable license to use the content for their intended purposes. 4.3. JSB Media retains the right to showcase work completed as part of its portfolio unless otherwise agreed upon in writing.

5. Confidentiality

5.1. JSB Media agrees to keep client information confidential and will not disclose any proprietary or sensitive information without prior consent. 5.2. This confidentiality obligation remains effective even after the termination of services.

6. Prohibited Activities

‍

6.1. Clients may not use JSB Media’s services for any illegal, fraudulent, or unethical purposes, including but not limited to:

• Spamming, phishing, or distributing malicious software.
• Misleading or deceptive advertising practices.
• Promoting hate speech, violence, discrimination, or illegal activities.
• Engaging in trademark or copyright infringement.
• Any activity that violates Australian laws or the laws of the client’s jurisdiction. 6.2. JSB Media reserves the right to refuse or terminate services if a client engages in prohibited activities.

7. Liability and Disclaimers

7.1. JSB Media is not liable for any indirect, incidental, or consequential damages arising from the use of its services. 7.2. No guarantees are made regarding the results or success of marketing campaigns, as they depend on various external factors. 7.3. JSB Media is not responsible for interruptions caused by third-party tools or platforms.

8. Termination

8.1. Either party may terminate the agreement with a 14-day prior written notice before the next payment is charged. 8.2. In case of termination, the client is obligated to pay for all work completed up to the termination date. 8.3. JSB Media reserves the right to terminate services without notice if the client violates any terms outlined herein.

9. Governing Law

‍

These Terms and Conditions are governed by the laws of Australia. Any disputes arising out of or related to these terms shall be subject to the exclusive jurisdiction of the courts of Australia.

10. Amendments

‍

JSB Media reserves the right to update these Terms and Conditions at any time. Clients will be notified of any changes via email or website updates.
